Rules for Serving Business Entities Under URCP Rule 4(d)(1)(E)

When suing a corporation, limited liability company (LLC), limited partnership, or unincorporated business association in Utah, service of process cannot simply be left with a store cashier or general receptionist unless that individual is specifically authorized to accept service. Under Utah Rule of Civil Procedure 4(d)(1)(E), a corporation, partnership, or unincorporated association must be served by delivering a copy of the summons and complaint to:

1. An officer, a managing or general agent, or another agent authorized by appointment or law to receive process (most commonly the entity's Registered Agent on file with the Utah Division of Corporations); AND if the agent is one authorized by statute and the statute so requires, by also mailing a copy to the defendant.

2. If no officer or managing/registered agent can be found within the state, and the defendant has, or advertises or holds itself out as having, a place of business within Utah, or does business in Utah: by delivering a copy to the person who is at the time in apparent charge of that place of business.

What If the Registered Agent Cannot Be Found? (Utah Code § 16-17-301)

Occasionally, an LLC or corporation allows its Utah corporate registration to lapse, its registered agent resigns, or the registered agent cannot with reasonable diligence be served at the listed address. Under the Utah Model Registered Agents Act (Utah Code § 16-17-301), Utah actually simplifies backup corporate service compared to states that require serving the Secretary of State:

• Service on Governors by Certified Mail (§ 16-17-301(2)): If an entity has no registered agent or the agent cannot with reasonable diligence be served, the entity may be served by registered or certified mail, return receipt requested, addressed to the governors of the entity (such as corporate directors/officers or LLC managers/members) at the entity's principal office.

• apparent-Charge Service at Utah Place of Business (URCP Rule 4(d)(1)(E)): If no officer or registered agent can be found in Utah, a private process server can personally serve the manager or person in apparent charge of the company's active Utah office, storefront, or job site.

• Utah Division of Corporations & Commercial Code (Heber M. Wells Building, 160 East 300 South, 2nd Floor, Salt Lake City, UT 84111): Handles statutory filings and specific statutory substituted service filings where designated by statute.

Serving Insurance Carriers in Utah (Utah Code § 31A-2-309)

When serving an insurance company licensed or doing business in Utah, check whether you are serving a domestic carrier directly (such as SelectHealth at 5381 South Green Street, Murray, UT 84123, or WCF Insurance at 100 West Towne Ridge Parkway, Sandy, UT 84070) or serving a foreign insurer through statutory service.

Under Utah Code § 31A-2-309, every insurer authorized to do business in Utah (as well as unauthorized insurers issuing policies to Utah residents) appoints the Utah Insurance Commissioner as its attorney to receive service of legal process when a commercial registered agent is not used. Statutory service on the Utah Insurance Department is accepted at 4315 South 2700 West, Suite 2300, Taylorsville, UT 84129.
